Services Agreement

This Services Agreement ("Agreement") governs the web development and consulting services provided by GitPlumbers. By engaging our services, you agree to be bound by these terms. Specific project details, deliverables, timelines, and pricing will be agreed upon separately for each engagement.

Scope of Services

GitPlumbers provides web development, code analysis, technical consulting, and related services. Specific services, deliverables, timelines, and pricing for each project will be agreed upon in writing before work begins. Scope changes must be agreed in writing (email suffices). Additional work beyond the agreed scope will be billed at the same rate unless otherwise agreed.

Payment Terms

Pricing (hourly rates or fixed fees), invoicing schedule, and payment terms will be agreed upon for each project. A 50% deposit may be required to begin work. Invoices are typically due within Net 7, Net 14, or Net 30 days as specified in the project agreement.

Late payments incur a 1.5% monthly interest charge or $50 late fee, whichever is greater. Work may be paused if payment is more than 15 days overdue until the account is current.

Clients are responsible for all applicable taxes. All fees are non-refundable once work has commenced.

Intellectual Property

Deliverables Ownership

Upon full payment, the client owns the final deliverables created specifically for them. This includes custom code, designs, and documentation created for the project.

Background Technology

GitPlumbers retains ownership of tools, boilerplate code, frameworks, libraries, and reusable components used to create deliverables. Clients receive a perpetual, worldwide, royalty-free license to use such background technology as embedded in the deliverables.

Portfolio Use

GitPlumbers may use completed work in portfolio and marketing materials unless the client opts out in writing before project completion.

Open Source and Third-Party Components

Deliverables may include open-source software and third-party components under their respective licenses. Clients are responsible for reviewing and complying with these licenses. Clients are also responsible for third-party service accounts, fees, and terms (hosting, CMS, APIs, domain registration).

Confidentiality

Both parties agree to keep confidential information confidential for 5 years after project completion, or indefinitely if marked as trade secrets. Confidential information includes source code, business plans, technical specifications, and proprietary data shared during the project.

Each party will use reasonable security safeguards. Passwords and sensitive credentials should not be shared via email; use secure channels instead.

Data Use and Training

GitPlumbers will not use client code, data, or confidential information to train generalized AI models or for marketing purposes without written consent. GitPlumbers may use aggregated, de-identified operational metrics to operate and secure services.

Warranty and Fixes

GitPlumbers warrants that services will be performed in a professional and workmanlike manner. For material defects in deliverables introduced by GitPlumbers, we will provide bug fixes free of charge for 30 days after final delivery.

GitPlumbers makes no warranties about business outcomes, uptime, or third-party service reliability. Services are provided "as is" except as stated above.

Revisions

Reasonable revision rounds (typically 1-2 per screen/feature) are included as specified in each project agreement. Additional revisions beyond the agreed amount will be billed at the standard hourly rate. Scope changes follow the change control process above.

Term and Termination

Either party may terminate this Agreement at any time with written notice (email suffices). Upon termination, the client pays for all work performed through the termination date. GitPlumbers will deliver any paid work-in-progress and provide reasonable handover documentation.

Limitation of Liability

Each party's total liability to the other is capped at the fees paid by the client in the prior 3 months. Neither party will be liable for indirect, consequential, or punitive damages, including lost profits or data.

Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, internet outages, or government actions.

Assignment

Neither party may assign this Agreement without written consent from the other, which shall not be unreasonably withheld.

Disputes and Governing Law

This Agreement is governed by the laws of the jurisdiction where GitPlumbers operates. If a dispute arises, both parties agree to discuss in good faith for 10 days. If unresolved, either party may proceed in small-claims court. No class actions are permitted.

General Provisions

Notices: All notices must be sent via email to the addresses provided by each party.

Entire Agreement: This Agreement, together with any specific project agreements, constitutes the complete agreement between the parties and supersedes prior discussions.

Waiver: Failure to enforce any term does not waive that term.

Severability: If any provision is unenforceable, the rest remains in effect.
